1. Acceptance of Terms
By using BuildPanel’s website or purchasing any of our products, you agree to be bound by these Terms of Service. Your access to and use of our site (“Site”) or any purchase from us constitutes acceptance of all terms and policies herein. If you do not agree to these Terms, you must not use the Site or place any orders. We may modify these Terms at any time, and your continued use of the Site or your placement of an order after changes are posted constitutes acceptance of the updated Terms.

  • Agreement. Your order of products is an offer to buy, and BuildPanel may accept or decline the order. We reserve the right to refuse or cancel any order at our discretion.

  • Age and Authority. You warrant that you are at least 18 years old or have legal authority to enter into this agreement. By placing an order or creating an account, you affirm you are legally capable of forming a binding contract.

  • Other Policies. These Terms incorporate by reference our Privacy Policy and any additional terms (e.g. our Warranty Policy). Purchasing or using the Site also means you accept those policies.

2. Use of Website Content and Intellectual Property
BuildPanel and its licensors own all materials on the Site (including text, images, videos, software, and other content). These materials are protected by trademark, copyright, patent, and other intellectual property laws. We grant you a limited, revocable license to view and print one copy of the Site content for your personal, non-commercial use only. Any other use (e.g. copying, distributing, modifying, or selling our content) is strictly prohibited without our prior written permission.

  • Ownership. All BuildPanel names, logos, designs, and product images are our property or used under license, and may not be used without permission.

  • License to Use. You may browse, download, and print Site materials only if you do not alter them and keep all proprietary notices intact. This license is subject to these Terms and may be revoked at any time.

  • Restrictions. You agree not to reproduce, duplicate, reverse engineer, or create derivative works from any part of the Site. You may not use any trademarks, designs, or logos without our consent.

3. Orders, Pricing, and Payment
BuildPanel products are sold either directly through this website or via authorized distributors. When you place an online order, you warrant that all information is accurate and that you are legally permitted to make the purchase. All orders are subject to acceptance by BuildPanel, and we reserve the right to limit quantities or cancel orders.

  • Prices & Quotes. All prices are quoted in the currency you select (USD, CAD, etc.) as shown on the Site. Prices can change before we accept your order; we will notify you of the final price at acceptance. Taxes, duties, and shipping are extra as noted at checkout. Any volume discounts or special pricing must be confirmed in writing.

  • Payment. Payment must be made by the methods accepted at checkout (e.g. credit card, cryptocurrency) before shipment. If payment fails or is later declined, we may cancel your order. For distributor sales, additional payment terms may apply under the distributor’s policies.

  • Distributor Channels. If you purchase through an authorized distributor, both these Terms and any distributor-specific terms will apply. You agree that BuildPanel is not responsible for independent policies of distributors.

4. Shipping, Delivery, and Title
BuildPanel will arrange shipment of your order via third-party freight carriers.

  • Delivery Time. Typical delivery is about 4–8 weeks from order confirmation, depending on your location. This is an estimate only; unforeseen delays (e.g. weather, customs, carrier issues) may occur.

  • Shipping Responsibilities. BuildPanel is not liable for delays, loss or damage caused by the carrier once goods leave our facility. You bear the risk of loss in transit. Please inspect all shipments on arrival; any damage or shortage claims must be made with the carrier.

  • Costs. Shipping charges are billed to you as indicated at checkout. You are responsible for any import duties, taxes or customs fees once the product enters your country.

  • Delivery Location. We will ship to the address you specify. It is your responsibility to ensure the delivery location is accessible for the freight. We may split shipments if necessary and charge accordingly.

  • Title Transfer. Title and risk pass to you when the carrier picks up the goods from BuildPanel.

5. Warranty and Limitation of Liability
BuildPanel products come with a separate warranty (see our Warranty Policy). Except as provided in that warranty, all products are sold “as is” and BuildPanel disclaims all other warranties. To the fullest extent permitted by law, we make no representations or guarantees about fitness for any particular purpose or merchantability.

  • Warranty Disclaimer. All warranties except those in our posted Warranty Policy are expressly disclaimed. We do not warrant that the products will meet your requirements beyond what the warranty states.

  • Limitation of Remedies. If your purchase is covered by our warranty, our sole obligation is limited to repair, replacement or refund as set out in that warranty. Under no circumstances shall BuildPanel’s liability exceed the purchase price of the product.

  • Liability Exclusion. IN NO EVENT WILL BUILDPANEL (ITS AFFILIATES OR DISTRIBUTORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM YOUR PURCHASE OR USE OF ANY PRODUCT, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • Legal Limits. Some jurisdictions may not allow exclusion of warranties or limitation of liability. In such cases, our liability is limited only to the extent permitted by applicable law.

6. Third-Party Contractors and Referrals
BuildPanel may provide referrals to third-party contractors (for example, installers, designers, or local providers) for your convenience.

  • Disclaimer: These third parties are independent businesses, not BuildPanel employees. BuildPanel does not guarantee or warrant their work or performance. Your agreement or contract with any referred party is strictly between you and that party.

  • We do not endorse, direct or supervise any third-party contractor, and we are not responsible for their services or products.

  • BuildPanel shall have no liability for any claims arising from any act or omission of a third-party contractor or referrer.

  • You agree that using any third-party service is at your own risk, and you must look solely to that third party for any warranty, guarantee or remedy.

7. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. For Canadian users, any disputes will be subject to the courts of British Columbia. For U.S. users, the laws of the United States and the state of Washington (as a geographically appropriate jurisdiction) will apply, and disputes will be subject to U.S. state or federal courts in that jurisdiction. You consent to exclusive jurisdiction in those courts. In either country, you waive any right to a jury trial or class-action lawsuit unless prohibited by law.

  • Choice of Law. Canadian customers agree that these Terms are governed by Canadian and BC law. U.S. customers agree that U.S. and Washington law applies.

  • Venue. Disputes may be brought in the courts of Vancouver (BC) or in courts of the relevant U.S. state, as applicable.

  • Arbitration. If required by law or by agreement of the parties, disputes may be resolved through binding arbitration in the appropriate jurisdiction.

8. Privacy and Data Usage
Your privacy is important to us. BuildPanel collects and processes personal information (such as name, address, contact and payment details) to fulfill orders, provide support, and comply with legal requirements. We use cookies and analytics to improve our Site and to send you marketing communications if you opt in. By using our Site or making a purchase, you consent to our collection, use and disclosure of your personal data in accordance with our Privacy Policy. BuildPanel follows applicable privacy laws (e.g. British Columbia’s PIPA regulates collection and handling of personal data) and takes reasonable measures to protect your information.

  • Data Collection. We collect the information you provide when ordering, including shipping/billing details. We may also collect data automatically (e.g. IP address, site usage).

  • Use of Data. Personal data is used to process and deliver your order, respond to inquiries, and, if you agree, to inform you about products or promotions.
